1. Agreement to Terms

Welcome to Lauren Bayne (“we,” “our,” or “us”).

These Terms and Conditions (“Terms”) govern your access to and use of our websites, software, sub-accounts, and systems powered by GoHighLevel (GHL), including any branded portals, automations, integrations, or communication tools (collectively, the “Services”).

By using our Services, you agree to these Terms, our Privacy Policy, and any applicable service agreement or order form.
If you do not agree, you may not access or use our Services.

2. Description of Services

Lauren Bayne provides business automation and digital marketing infrastructure through the GoHighLevel platform. Services may include, but are not limited to:

  • CRM setup, management, and workflow automation

  • Funnel and website development within GoHighLevel

  • Marketing, SMS, and email automation

  • Calendar booking and pipeline management

  • Software white-labeling for agency or client use

  • Technical consulting and integrations with third-party apps

All Services are cloud-based and accessible remotely.

3. Use of the GoHighLevel Platform

A. Account Access

Clients may receive a dedicated sub-account or login under our GoHighLevel Agency system. You are responsible for:

  • Maintaining confidentiality of login credentials

  • Ensuring authorized access only by your staff or clients

  • Keeping account data accurate and up to date

B. Prohibited Use

You may not use our Services to:

  • Send spam, unsolicited messages, or content violating CAN-SPAM, TCPA, or A2P 10DLC regulations

  • Upload or transmit viruses, malware, or illegal material

  • Engage in deceptive, abusive, or unethical marketing practices

  • Attempt to modify or reverse-engineer any part of the GoHighLevel platform

Violations may result in immediate suspension or termination of your account.

4. Data Ownership and Responsibilities

  • You retain ownership of your customer and contact data within your sub-account.

  • Lauren Bayne acts as a service provider and data processor for your business operations inside GoHighLevel.

  • You are the data controller for all leads, messages, and client information you collect through the platform.

  • You are solely responsible for obtaining any necessary consents from your contacts for SMS, email, or call communications.

  • You agree to comply with all applicable data protection and privacy laws.

We reserve the right to remove or anonymize data if required by law, platform policy, or in response to abuse reports.

5. Billing and Payments

Unless otherwise agreed in writing:

  • All Services are billed through Stripe, PayPal, or an approved payment processor.

  • Subscriptions and retainers renew automatically unless canceled with written notice.

  • Payment is due upon receipt; overdue invoices may result in suspension of access.

  • Setup fees and deposits are non-refundable once work has begun.

  • Any third-party costs (Twilio, LC Email, domain registration, etc.) are the client’s responsibility.

Hourly work is billed at $50/hour with a 12-hour monthly minimum for retainers.
Rush work (under 3 business days) is billed at $100/hour.

6. Messaging and Communication Compliance

By using our platform to send messages, you agree to:

  • Comply with A2P 10DLC registration and all U.S. carrier rules

  • Include required opt-in and opt-out language (e.g., “Reply STOP to unsubscribe”)

  • Only send messages to users who have given express written consent

  • Maintain TCPA and CAN-SPAM compliance at all times

Lauren Bayne is not responsible for carrier filtering, deliverability, or penalties incurred from misuse of messaging tools.

7. Cancellation Policy

Ongoing monthly services may be canceled with 30 days’ written notice.
During that time, any completed or in-progress work will be billed accordingly.
Access to your GoHighLevel sub-account or hosted assets will be removed after cancellation unless otherwise agreed.

One-time projects canceled after work begins will be billed for work completed up to the cancellation date.

8. Intellectual Property

Unless otherwise specified:

  • All automations, designs, workflows, and proprietary materials created by Lauren Bayne remain our intellectual property until full payment is received.

  • Upon payment, you are granted a non-exclusive, non-transferable license to use deliverables within your own business.

  • You may not resell, copy, or distribute our intellectual property or system templates without written consent.

All rights to the GoHighLevel software remain the property of LeadConnector, LLC, and are used under license.

9. Third-Party Integrations

Our platform may integrate with third-party tools including, but not limited to:

  • Twilio (SMS/voice)

  • Mailgun (email)

  • Stripe (payments)

  • Google Workspace, Zapier, and others

Use of these services is subject to their respective terms and privacy policies.
Lauren Bayne is not liable for any service disruptions or data handling by these providers.

10. Service Availability and Maintenance

We strive to maintain 99% uptime for hosted systems but do not guarantee uninterrupted access.
Temporary interruptions may occur for:

  • Scheduled maintenance

  • System updates or API changes by GoHighLevel or third parties

  • Force majeure events (e.g., outages, natural disasters, network failures)

We will make reasonable efforts to notify users of scheduled maintenance windows.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Lauren Bayne shall not be liable for indirect, incidental, or consequential damages including lost profits, data loss, or communication disruptions.

  • Our total liability shall not exceed the amount paid by you in the 30 days preceding the claim.

  • Services are provided “as is” without warranty of any kind—express or implied.

You acknowledge that marketing performance, lead generation, or conversion outcomes cannot be guaranteed.

12. Indemnification

You agree to indemnify and hold harmless Lauren Bayne, its employees, and affiliates from any claims, losses, or damages arising from:

  • Your misuse of the GoHighLevel platform

  • Failure to comply with TCPA, CAN-SPAM, A2P, or privacy regulations

  • Content or communications distributed through your account

This obligation survives termination of this Agreement.

13. Confidentiality

Both parties agree to keep confidential all proprietary, client, and account information exchanged during the engagement.
Confidential information may only be disclosed when required by law or mutual consent.

14. Termination

We may suspend or terminate your access without notice if:

  • You breach these Terms

  • Payment is overdue

  • You engage in spam, illegal activity, or system abuse

Upon termination, you remain responsible for any unpaid balances and legal obligations under this Agreement.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.
Any disputes will be resolved in the courts located in Guilford County, North Carolina.

16. Modifications to Terms

We may revise these Terms periodically. Updates will be posted on our website or portal with a revised Effective Date. Continued use of our Services after changes constitutes acceptance of the updated Terms.
